History of the district centre Gutschick-Mattenbach

I. Basics

1. Club

Under the name "district Association Gutschick – Matt Bach" (QGM) is an Association within the meaning of article 60 et seq. of the civil code, with headquarters in Winterthur – Matt Bach.

2. Purpose

The Association promotes the welfare work in the city district of Matt Bach. He is concerned with public issues and the interests of the quarters to the outside come true. It can also support individuals or groups, which act in his spirit. The Association is a non-denominational, politically and ethnically neutral.

3. Tasks

The Association may perform the necessary tasks for the fulfillment of its purpose, and independently by third parties, or to third parties, delegate. He is able to offer projects and actions that promote and/or support. 4. Club of the year

5. Membership

Membership is open to natural and legal persons who support the purpose of the Association.

  • Individual membership: natural persons

6. Termination of membership

The membership is terminated:

  • in the case of natural persons, by resignation, expulsion or death,

7. Exit and exclusion

The withdrawal may only be made at the end of the club year and shall be communicated in writing to the Board.

Members who do not pay the annual contribution, or against the interests of the Association are violated, may be excluded.

8. Medium

The pursuit of the purpose of the Association, the Association has the following resources:

  • Income from performance agreements
  • Donations and contributions of all kinds

The membership fees are set annually by the General Assembly.

Honorary members and President of the management Board members are exempt from the contribution.

9. Liability

For the liabilities of the Association shall be limited to the Association's assets.

A personal liability of the members is excluded.

 

II. ORGANIZATION

10. Organs of the Association

The organs of the Association are:

a) the General Assembly
b) the Board of Directors
c) the auditors

The Board may establish, if the funds are approved by the General Assembly, a Secretariat. This would also be a body of the Association.

11. General Assembly

The Supreme body of the Association is the General Assembly. It is convened by the Board at least once a year, preferably in the first quarter.

To the General meeting of the members at least. 30 days in advance in writing, stating the items on the agenda are invited. Invitations by E-Mail (or other electronic contact) are valid.

Applications for the inclusion of items of business for the attention of the General Assembly are up at the latest 14 days in advance in writing to the Board. The Board may move amendments, if required, stating the reasons therefor, to a later meeting date.

The Board of Directors, or 1/10 of the members may at any time require the convening of an extraordinary General meeting, stating the Purpose. The Assembly has to be made no later than 60 days after receipt of the desire to.

The General Assembly has the following inalienable duties and skills:

a) approval of the minutes of the last meeting of the members
b) approval of the annual report of the Board of management
c) receipt of the audit report and approval of the annual accounts
d) discharge of the Board
e) election of the Board and of the auditors
f) determination of membership fees
g) approval of the annual budget
h) a decision on the programme of activities
i) decision-making on applications of the Executive Board and of the members
j) Amendment of the articles of Association
k) a decision on the dissolution of the Association and the use of the proceeds of Liquidation.

Any duly convened meeting of the members is independent of the number of votes of the members present constitute a quorum.

Voting and elections usually take place in the open. You are a secret if one-third of the voting members present in an open vote, or a majority of the Board so requests.

The members take decisions by a simple majority. In the case of a tie, the Chairperson has the casting vote.

Amendments to articles of Association require the approval of a 2/3 majority of the members present and Voting.

12. Board of Directors

The Board consists of mind. 4 people.

The term of office is 2 years. Re-election is a maximum of 3x possible.

The Board has the following duties and responsibilities:

The Executive Board meets as often as required by the business. Each Board member may request, stating the reasons for the convening of a meeting.

If no Board member calls for verbal discussion, the decision-making by circular letter (E-Mail) to be valid.

Decisions require a simple majority of the attending members of the Board (when by circulation of all the members of the management Board). In the case of a tie, the Chairperson has the casting vote, if the vote is tied by circular of the Bureau, should be a Co-Bureau also a voice equal to that of the financial controller.

The Board is basically a volunteer, he is entitled to compensation of actual expenses incurred.

13. Auditors

The term of office is 2 years. Re-election is possible.

14. Signing authority

III. DISSOLUTION OR MERGER

15. Resolution

The dissolution of the Association can be decided by a decision of a specially convened General Assembly with a Vote of 2/3 of the members present if at least 50% of the members participate.

Take part in less than 50% of the members of the Assembly is to be held within a month a second meeting. At this meeting, the Association may be dissolved by a simple majority, if less than 50% of the members are present.

16. Liquidation

In the case of a dissolution of the Association, the General Assembly determines which tax-exempt organization to the place that has the same or a similar purpose, the assets of the Association may be transferred. The distribution of the Association's assets among the members is excluded.

IV. FINAL PROVISIONS

17. Entry into force

These statutes will come with the adoption by the General Assembly of 17. September 2021 in force. Replace the articles of Association of 23. March 2007.
